Agreement to these terms
These Terms & Conditions (“Terms”) are a binding agreement between the person or business using Watan Ledger (“you” or “your”) and Watan Ledger (“Watan,” “we,” “us” or “our”) concerning the Watan mobile app, progressive web app, website, support and related services (together, the “Service”).
By creating an account, tapping an acceptance control, downloading, accessing or using the Service, you confirm that you have read and accepted these Terms and the Privacy Policy. If you use Watan for a business or another organisation, you accept these Terms for yourself and confirm that you have authority to bind that business or organisation. If you do not agree, do not create an account or use the Service.
Eligibility and authority
You may use Watan only if:
- you can legally enter into a binding agreement in the place where you live or operate;
- you are acting for a genuine business purpose and have authority to manage the relevant records;
- your use is not prohibited by applicable trade, sanctions, export-control or other law; and
- you provide accurate account information and keep it reasonably current.
Watan is not directed to children and must not be used to create an account for a child who cannot legally operate the relevant business or accept these Terms.
What Watan provides
Watan provides tools that help users record and calculate business information. Features may include cash and currency balances, customer and counterparty accounts, hawala records, exchange entries and rates, expenses, investments, commissions, profit-and-loss views, statements, receipts, reports, subscriptions, referrals, offline storage and synchronisation.
Watan records and organises the information supplied by the user. It is not a bank, accounting firm, auditor, tax adviser, law firm, government office, licensed exchange, escrow service, payment processor or money-transfer operator. Using words such as “account,” “payment,” “balance,” “hawala,” “credit,” “cash” or “settled” inside the Service describes a ledger record; it does not mean Watan holds or transfers funds.
We may add, remove or change features to maintain, secure or improve the Service. Some features may be labelled preview, experimental or coming soon and may be changed or withdrawn without becoming a permanent commitment.
Accounts and security
You must provide accurate registration information, maintain control of the registered email account and keep your password confidential. Do not share credentials or allow an unauthorised person to use your account. You are responsible for activity performed through your account unless applicable law provides otherwise.
Watan may provide an app-lock setting that uses the device’s own authentication. This is an additional screen-access control, not a guarantee that data is encrypted or inaccessible on a compromised or already unlocked device. You are responsible for protecting the device, using an appropriate system lock, limiting staff access and signing out when necessary.
Notify Watan promptly if you suspect unauthorised access, credential theft or loss of a device containing business records. Watan may ask for reasonable account information before changing access or responding to a security request.
Licence to use Watan
Subject to these Terms and any applicable plan, Watan grants you a limited, personal or internal-business, revocable, non-exclusive, non-transferable and non-sublicensable licence to install, access and use the Service on devices you own or control. You may use the Service only for its intended business record-keeping purpose and in accordance with applicable app-store usage rules.
This licence does not transfer ownership. You may not copy or distribute the Service except where law or an app-store family-sharing rule expressly permits it, and you may not reverse engineer, scrape, resell, sublicense or create a competing service from Watan except to the limited extent a non-waivable law allows.
Your records and content
As between you and Watan, you retain your rights in the business information, notes, names, photographs and records you enter (“User Content”). You give Watan a limited permission to host, copy, transmit, format, calculate, display, back up and otherwise process User Content only as needed to provide, secure and support the Service and as described in the Privacy Policy. This permission ends when the content is deleted from our systems, subject to the stated deletion period.
You represent and agree that:
- you have the right and lawful business reason to enter the User Content;
- you will provide any notice and obtain any consent required from customers, staff, counterparties, senders, receivers or other people;
- User Content will not infringe another person’s privacy, confidentiality, intellectual property or other rights;
- you will limit collection to what your business genuinely needs; and
- you will correct or remove information when keeping it is no longer accurate, lawful or necessary.
Watan does not claim ownership of a user’s ledger and does not use its contents for advertising or marketing.
No banking access or movement of funds
Watan does not connect to, inspect or control any bank account. We do not request bank credentials, card PINs, mobile-money PINs or online-banking passwords. Watan does not execute payments, exchange currency, transmit hawala funds, custody assets, clear transactions or guarantee settlement.
If Watan displays receiving instructions for a Watan subscription or lets you type a payment reference, that is limited to administering the purchase of the Service. It does not allow Watan to view the balance or history of your financial account. Any payment, hawala, cash movement or exchange recorded in the ledger occurs outside Watan and remains solely between the relevant parties.
You are responsible for confirming counterparties, amounts, currencies, rates, identity, authority, receipt of funds and final settlement through appropriate independent means.
No tax, accounting, legal or regulatory advice
Watan is a general business accounting and calculation tool. It does not provide tax, legal, audit, compliance, investment, financial or professional accounting advice. A report generated by Watan is not a tax return, audited statement, licence, regulatory filing, proof of compliance or official government record.
You are solely responsible for understanding and satisfying all laws and obligations that apply to your business. This includes, where applicable, taxation, accounting standards, licences, record-keeping periods, consumer protection, privacy, employment, foreign exchange, anti-money-laundering, counter-terrorist financing, sanctions, customer identification and reporting obligations.
Watan does not determine or accept responsibility for compliance with Afghanistan’s tax, licensing, Da Afghanistan Bank, anti-money-laundering, hawala, sarafi or other national, provincial or local rules. The same principle applies in every other country where the Service may be used. Consult a qualified local professional or the relevant authority before relying on Watan for a regulated or filing purpose.
Calculations, rates and accuracy
Watan performs calculations from the values, classifications, dates, currencies and exchange rates supplied to it. A result can be wrong if the source information is missing, duplicated, delayed, misclassified, entered incorrectly, edited after a report, affected by rounding, or not yet synchronised.
Any market rate shown in Watan is informational unless the parties independently agree to use it. Rates can change, may be delayed and may not match the rate available to a user. Profit-and-loss figures, equivalents, commissions and balances may use user-selected assumptions and are not independently verified.
You must review source entries, reconcile cash and external accounts, confirm rates and obtain professional review before using a Watan output for payment, tax, audit, credit, investment, regulatory or other important decisions. Do not treat the absence of a warning as confirmation that a record or calculation is correct.
Your compliance responsibilities
You are responsible for:
- determining whether Watan is suitable and lawful for your business and location;
- performing any identity, sanctions, customer due diligence, AML/KYC or transaction monitoring required of you;
- keeping original documents and official records for the periods required by law;
- making tax and regulatory filings and paying all taxes, duties, fees and penalties owed by your business;
- maintaining appropriate internal controls, staff permissions and independent reconciliations;
- resolving disputes with customers, counterparties, staff, banks, payment providers and authorities; and
- obtaining professional advice for decisions whose consequences exceed ordinary ledger administration.
Watan’s availability in an app store or country does not mean Watan has confirmed that every feature or use is permitted for every user, business or transaction in that place.
Offline use, synchronisation and backups
Watan is designed to continue operating during weak or absent connectivity. Entries may be saved on the device and queued before the server confirms them. Until an entry is shown as synchronised, it may exist only on that device and may not appear on another device, in support systems or in a server-generated report.
Reconnection, repeated submission, device-clock differences, conflicting edits, exhausted device storage, clearing browser data, uninstalling the app, losing a device or an interrupted update can affect local or pending records. Watan uses safeguards intended to reduce these risks, but no synchronisation system can guarantee that data will never be delayed, duplicated, conflicted or lost.
You are responsible for checking sync indicators, resolving failed entries, exporting important statements, and keeping any independent backup or original documentation your business requires. Do not erase app data, uninstall Watan or dispose of a device while entries remain unsynchronised.
Plans, subscriptions and payment
Some features may require a free trial, paid plan or subscription. The price, currency, duration, included features, renewal terms, grace period and payment method presented at purchase form part of these Terms. You authorise the disclosed provider to charge the amount you approve and are responsible for accurate payment references and any taxes or communication charges associated with the purchase.
Purchases processed by Apple or Google are also governed by that store’s payment, cancellation, refund and subscription-management rules. Manage or cancel an app-store subscription through the relevant store account. Deleting Watan or deleting a Watan account does not itself cancel a store-managed subscription unless the store confirms cancellation.
Unless the purchase screen, applicable law or the relevant app store states otherwise, fees already paid are non-refundable. Watan will provide any refund or remedy that cannot legally be excluded. If a trial or plan expires, Watan may limit new entries while allowing the access described on the relevant subscription screen.
Privacy and data retention
Our Privacy Policy explains what limited account and business information Watan processes, why it is used, when it may be shared, how on-device offline storage works, and how to make a privacy or deletion request. It forms part of these Terms.
Watan does not sell personal information, use ledger content for marketing, access bank accounts or use browser tracking cookies. After an account is closed or a verified deletion request is accepted, identifiable information under Watan’s control is deleted or irreversibly anonymised as soon as reasonably practical and no later than six months, subject to the limited details explained in the Privacy Policy.
Acceptable use
You must not use or attempt to use Watan to:
- break any law, evade a sanction, conceal criminal proceeds, finance prohibited activity or facilitate fraud;
- store information you have no lawful right to possess or disclose;
- impersonate another person or business, submit false support or payment claims, or misrepresent a transaction;
- upload malware, harmful code, unlawful imagery or content that violates another person’s rights;
- probe, disrupt, overload, bypass, defeat or gain unauthorised access to the Service or another account;
- extract data through automated scraping, reverse engineer protected parts of the Service, or misuse an API;
- resell, rent or commercially provide access to Watan unless we have agreed in writing; or
- remove ownership notices or use Watan branding in a way that suggests unauthorised endorsement.
Watan may investigate suspected misuse and may preserve or disclose the minimum information required by a valid legal process. We may suspend access where reasonably necessary to protect the Service or other users.
Third-party services and links
Watan may let a user open WhatsApp, email, a telephone dialler, a system share sheet, an app store, a payment provider or another website. Those services are operated by third parties under their own terms and privacy practices. A user chooses whether to send or export a document and is responsible for checking its recipient and contents before sharing.
Watan is not responsible for a third party’s availability, fees, security, content, delivery, use of shared information or acts and omissions. A link or interoperability feature does not mean Watan endorses or controls the third party. Where law requires, the third party remains responsible for its own service.
Watan ownership and feedback
Watan and its licensors own the Service, software, design, text, visual identity, databases, documentation, trademarks and other materials, excluding User Content and third-party materials. All rights not expressly granted in these Terms are reserved.
If you voluntarily send a suggestion or feedback, you allow Watan to use it without restriction or payment, provided that Watan does not publicly identify you as its author without permission. Feedback does not give Watan ownership of your ledger or confidential business records.
Availability, maintenance and changes
We aim to keep Watan useful and available, but the Service may be interrupted by maintenance, internet or mobile-network failures, hosting failures, device restrictions, security incidents, force majeure, government action or matters outside our reasonable control. Features may vary by device, platform, version, plan and location.
We may issue updates needed for security, compatibility or functionality. A user may need to install an update to continue using the Service safely. We may discontinue a feature or the Service, and where reasonably practicable will provide notice and an opportunity to export records before a material discontinuation.
Suspension, termination and account deletion
You may stop using Watan at any time and may request permanent deletion of your account and associated data through the method described in the Privacy Policy. Export any records you need before deletion. Deleting the app alone does not necessarily delete the server account or cancel a store-managed subscription.
Watan may suspend or terminate access if you materially breach these Terms, fail to pay an applicable plan, create a security risk, use the Service unlawfully, or if continued service is prohibited. Where appropriate, we will give notice and a reasonable opportunity to correct the issue, but urgent suspension may occur without notice to protect users, data or the Service.
After account closure, the licence ends immediately. Provisions that by nature must continue—including ownership, disclaimers, liability limits, dispute terms and obligations concerning prior conduct—survive. Identifiable account data is handled under the Privacy Policy and removed within its stated six-month maximum.
Disclaimers
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available.” Watan disclaims implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment and non-infringement. We do not promise uninterrupted or error-free operation, permanent availability, compatibility with every device, recovery of every record, or that calculations, market rates, reports or synchronisation will always be complete, current or correct.
Nothing in these Terms excludes a warranty, consumer right or remedy that the law does not allow us to exclude. If an app store provides a separate mandatory warranty remedy, that remedy also remains available under the store’s terms.
Limits of liability
To the maximum extent permitted by law, Watan and its owners, personnel, licensors and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for lost profit, revenue, business, opportunity, goodwill, anticipated savings or data, arising from or connected with the Service—even if the possibility was known.
Watan is not responsible for loss caused by incorrect user entries; an unverified customer or counterparty; exchange-rate movement; an external payment or hawala; tax or regulatory action; a user’s failure to export or reconcile records; loss of an unlocked device; clearing local storage; unsynchronised entries; or a third-party service outside Watan’s control.
To the maximum extent permitted by law, Watan’s total liability for all claims connected with the Service will not exceed the amount the claimant paid to Watan for the Service during the twelve months before the event giving rise to the claim. This limit does not apply to liability that cannot lawfully be limited, including liability for fraud or any death or personal injury caused by negligence where applicable law prohibits that limitation.
Responsibility for third-party claims
To the extent permitted by law, if your unlawful use, User Content, breach of these Terms, or violation of another person’s rights causes a claim against Watan, you agree to defend and reimburse Watan for reasonable losses, liabilities and costs resulting from that claim. This obligation does not apply to the extent a claim was caused by Watan’s own breach, negligence or unlawful conduct. Watan will provide reasonable notice and permit your participation in the defence where appropriate.
Apple App Store and Google Play terms
If you obtained Watan through Apple’s App Store or Google Play, these Terms are between you and Watan, not Apple or Google. Watan—not the store—is responsible for the Service, its content, maintenance and support, subject to these Terms and applicable law. The store has no obligation to provide maintenance or support.
Your licence is limited to use on devices permitted by the relevant store’s usage rules. You must comply with applicable third-party terms, including mobile-data and app-store terms. Watan is responsible for addressing claims concerning the Service, including product-liability, legal-compliance, consumer-protection and intellectual-property claims, to the extent these Terms or law place that responsibility on Watan.
For an Apple-distributed version, if the app fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price paid for the app, if any. To the maximum extent permitted by law, Apple has no other warranty obligation. Apple and its subsidiaries are intended third-party beneficiaries of these Terms and may enforce the provisions that apply to them after your acceptance. Google and its affiliates may likewise rely on provisions that apply to their platform under Google Play’s terms.
You represent that you are not prohibited from receiving the Service under applicable export-control or sanctions law and are not listed as a prohibited or restricted party. Nothing here requires conduct that would violate a law binding on you, Watan, Apple or Google.
Applicable law and disputes
These Terms are governed by the laws that apply to Watan as the Service operator, without applying rules that would select another jurisdiction’s law. Any non-waivable consumer protections and mandatory rights in the user’s country remain unaffected.
Before starting formal proceedings, you and Watan agree to make a good-faith effort to resolve a dispute by contacting the other party, describing the issue and allowing a reasonable period for response. If the dispute cannot be resolved, it may be brought before a court or authority that has mandatory jurisdiction under applicable law. These Terms do not prevent either party from seeking urgent relief to protect an account, confidential information, intellectual property or legal rights.
General terms
- Entire agreement: these Terms, the Privacy Policy and purchase terms shown at checkout form the agreement for the Service and replace earlier statements on the same subject.
- Severability: if a provision is unenforceable, it will be limited to the minimum necessary and the remaining provisions continue.
- No waiver: a delay in enforcing a right does not waive it.
- Assignment: you may not transfer the agreement without Watan’s consent. Watan may transfer it as part of a reorganisation or transfer of the Service, subject to applicable law and continued protection of user information.
- No partnership: these Terms do not create employment, agency, partnership, fiduciary or joint-venture duties between Watan and a user.
- Language: translations may be provided for convenience. Where legally permitted and versions conflict, the English version controls.
- Headings: headings and summaries help readability but do not limit the full text.
Changes to these terms and contact
Watan may update these Terms to reflect changes in the Service, law or security requirements. The current version will remain available at this URL with its effective date. We will provide an appropriate notice before a material change takes effect where required. Continued use after the effective date means acceptance of the updated Terms; if you do not agree, stop using Watan and request account deletion.
Contact Watan Ledger with a question or complaint. Do not send a password, bank credential, card PIN or other secret. Include only enough information to identify the account and explain the issue.
